Institutional Service Agreement

Between UniConnectly ("UniConnectly") and the Institution, this agreement governs the Institution's use of community management, event/announcement publishing, interaction with students, and (for companies) career/recruitment discovery services on the Platform.

• To provide accurate institutional identity information and to undergo the verification process.
• To use the account only for legitimate institutional purposes, in accordance with the law and this agreement.
• To be responsible for the appointment of authorised representatives/administrators and for their actions.

• Companies do not see students as individuals. Career discovery works only where the student's explicit consent plus the community's approval exist, and gives the company only an aggregate (at least 5 people), personal-data-free access view.
• The Institution may not use any data it accesses through the Platform in order to re-identify individuals, to collect it automatically (scraping) without permission, or for purposes beyond its intended one (e.g. off-purpose marketing, sale to third parties). These prohibitions constitute a material breach of the agreement.
• If the Institution communicates with students, it is itself obliged to comply with its own KVKK obligations (notice, explicit consent, data security) and is an independent data controller in that respect.

• The Institution declares that it holds the rights to the logo/visual/content it uploads, and grants UniConnectly a limited licence to display it.
• Misleading or unlawful content/offers, or those that exploit students, are prohibited.

• No payment passes through the Platform. UniConnectly does not set, display, or collect any fee, price, or sponsorship amount between the parties, and provides no payment intermediation.
• Sponsorship features exist solely to bring the parties together. All negotiation and agreement on amounts, consideration, and payment terms take place between the parties themselves, outside the Platform, and at their own responsibility.
• UniConnectly is not responsible for the presentation files, decks, and message content the parties send each other, and does not interfere with that content.
• The Institution is itself responsible for the tax and financial obligations arising from a sponsorship relationship.

• UniConnectly may suspend or terminate an Institution account that breaches this agreement or the Terms of Use (immediately in the case of student privacy violations in particular).
• When the Institution wishes to close its account, its data is handled according to the relevant processes.

The Institution is liable for damage arising from its breach of this agreement (in particular the data/privacy provisions of §3) and for third-party/student claims, and shall indemnify UniConnectly.

The law of the Republic of Türkiye applies; the courts and enforcement offices of Istanbul / the company's registered office have jurisdiction over disputes.
